By accessing or using Commy.io (the "Service") (former name: Scarlet Bolt AI), including our Chrome extension, website, and any related services, you ("User," "you," or "your") agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to all of these terms, do not use the Service.

You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

By registering for an account, you also consent to receive marketing communications as described in Section 2.5.

We reserve the right to update, modify, or replace any part of these Terms at any time. Your continued use of the Service following any changes constitutes acceptance of those changes.

Commy.io is a Chrome browser extension that provides AI-powered reply suggestions for LinkedIn comments and posts. The Service uses artificial intelligence to generate text suggestions based on your preferences and the context of the conversation.

THE SERVICE PROVIDES SUGGESTIONS ONLY. YOU RETAIN FULL CONTROL AND RESPONSIBILITY FOR ANY CONTENT YOU CHOOSE TO POST ON LINKEDIN OR ANY OTHER PLATFORM.

Commy.io is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation. Your use of LinkedIn is governed by LinkedIn's own terms of service.

By registering for the Service, you consent to receive marketing emails including:

• Product updates and feature announcements
• Newsletters and usage tips
• Promotional offers

We send occasional emails and will never sell your email address to third parties. You may unsubscribe anytime using the link in any email or by contacting admin@commy.io.

To use certain features of the Service, you must create an account. You agree to provide accurate information during registration.

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

We are not liable for any loss or damage arising from unauthorized access to your account.

4.1 Subscription Tiers

• Free Tier: Access with usage limits. Features may be modified at our discretion.
• Premium Plans: Paid subscriptions with enhanced features and usage limits.

4.2 Billing

Subscriptions are billed in advance on a recurring basis. By subscribing, you authorize us to charge your payment method. Prices are subject to change with notice.

4.3 Free Trials

Premium subscriptions may include a free trial period. You will not be charged if you cancel before the trial ends.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting admin@commy.io. Upon cancellation, you retain access until the end of your current billing period.

You agree NOT to use the Service to:

• Generate spam, bulk messages, or automated mass posting
• Harass, threaten, defame, or abuse others
• Impersonate any person or entity
• Post illegal, harmful, fraudulent, or objectionable content
• Violate any third-party platform terms of service
• Infringe upon intellectual property rights
• Transmit malware or harmful code
• Reverse-engineer or decompile any part of the Service
• Access the Service through unauthorized automated means
• Circumvent usage limits
• Share your account with third parties

Violation may result in immediate account termination without refund.

• YOU are solely responsible for any content you post using our suggestions
• AI outputs may be inaccurate, incomplete, inappropriate, or unsuitable
• We make NO representations about the quality or accuracy of AI-generated content
• You must verify all content before posting
• We are not responsible for any consequences arising from your use of AI-generated content

7.1 Our Intellectual Property

The Service, including its design, code, algorithms, and branding, is owned by Commy.io and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service.

7.2 Your Content

You retain ownership of your content. By using the Service, you grant us a license to use and process your content solely to provide the Service.

7.3 Feedback

Any feedback or suggestions you provide become our property, and we may use them without compensation or attribution.

The Service integrates with third-party services for functionality including authentication, payment processing, and AI capabilities. We are not responsible for the availability or reliability of third-party services. Your use of third-party services is subject to their respective terms.

You agree to defend, indemnify, and hold harmless Commy.io, its owner, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Any content you generate, post, or transmit using the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws
• Any claim that your content caused damage to a third party

12.1 Termination by You

You may terminate your account at any time by contacting admin@commy.io.

12.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause, and with or without notice.

12.3 Effect of Termination

Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account and data; (c) you are not entitled to any refund.

12.4 Survival

Sections 6-15 and any other provisions that by their nature should survive termination shall survive termination of these Terms.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

13.2 Exclusive Jurisdiction

ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE BROUGHT EXCLUSIVELY IN THE COMPETENT COURTS LOCATED IN TEL AVIV-YAFO, ISRAEL. YOU HEREBY IRREVOCABLY CONSENT TO THE EXCLUSIVE JURISDICTION AND VENUE OF SUCH COURTS AND WAIVE ANY OBJECTION TO SUCH JURISDICTION OR VENUE.

13.3 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY LAW, YOU AND COMMY.IO WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS.

13.4 Class Action Waiver

YOU AGREE THAT ANY CLAIMS AGAINST COMMY.IO MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

13.5 Time Limitation

Any claim or cause of action arising from or relating to these Terms or the Service must be filed within one (1) year after such claim arose, or be forever barred.

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, strikes, power outages, telecommunications failures, or cyberattacks.

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Commy.io regarding the Service.

15.2 Severability

If any provision is held invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.

15.3 No Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms at any time.

15.5 Language

These Terms are written in English. Any translation is provided for convenience only. In case of any conflict, the English version shall prevail.
